Legal & Finance in Bangkok: what to know

Legal and finance in Bangkok covers law firms, accounting and audit firms, insurance brokers and other financial services. Running a business in Thailand means company registration, bookkeeping, tax filings, work permits and, for many foreign-owned companies, the Foreign Business Act.

Every Thai company must keep accounts, have its annual financial statements audited and file corporate income tax, VAT and withholding tax returns on a fixed calendar. The guides below explain each duty, so you know what to ask a firm before you hire one.

Most listings sit in the business districts. Silom & Sathorn has the largest group. Smaller groups sit on Sukhumvit at Nana, Asok and the stretch covered by Sukhumvit. Ploenchit and Ratchada serve office workers and companies on the MRT.

Before you choose a firm:

  • Ask for a written engagement letter that states the scope and the total fee.
  • Check that the lawyer holds a licence from the Lawyers Council of Thailand.
  • Check that the auditor is a registered Certified Public Accountant.
  • Ask who will do the work and how fast they reply.
  • List the monthly and annual deadlines the firm will handle for you.
  • Avoid any offer of nominee shareholders that aims to get around the Foreign Business Act.

Frequently asked questions

Does every Thai company need an auditor?

Yes. Thai limited companies must have their annual financial statements audited by a licensed auditor. The audit is separate from monthly bookkeeping. Our accounting and audit guide lists what the auditor needs from you and when the accounts fall due.

Can a foreigner own 100% of a Thai company?

Only for activities that the Foreign Business Act does not restrict. Other cases need a Foreign Business Licence, BOI promotion or a treaty exemption. Read the ownership rules guide before you sign any share arrangement, and avoid nominee schemes.

When are Thai company tax returns due?

Monthly withholding tax and VAT returns are due in the following month. Corporate income tax returns are due within 150 days of the year-end. The annual compliance calendar guide puts these dates in one place.

How do I check that a lawyer is licensed in Thailand?

Ask for the lawyer's full name and licence number, then check them with the Lawyers Council of Thailand. Ask the same of an auditor, who must be a registered Certified Public Accountant. A genuine firm will give both without delay.

Which area of Bangkok has the most law and accounting firms?

Silom and Sathorn, the central business district, has the largest group of listings. Nana, Asok, Sukhumvit, Ploenchit and Ratchada follow. Pick the area near your office or home so meetings are easy to reach by BTS or MRT.
